These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, or “You”) and Entrepreneurship Drive, governing access and usage of the Company’s website, digital assets, and professional services.
By continuing to access or avail of any of ED’s services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as amended from time to time.
1. Services
ED provides strategic business consulting, enterprise blueprinting, market advisory, and other ancillary services. The nature and scope of services shall be governed by separate Service Level Agreements or statements of work (SOW) where applicable.
2. Eligibility
By engaging with ED, you represent that you are of legal majority under applicable law and are otherwise competent to contract under Section 11 of the Indian Contract Act, 1872.
3. Intellectual Property Rights
All content, branding, trade names, documents, deliverables, trademarks, software code, and other proprietary material on the website or created as part of ED’s services remain the exclusive intellectual property of ED or its licensors. Unauthorized reproduction, dissemination, modification, or derivative usage is strictly prohibited and may invoke civil and criminal penalties.
4. Payment Terms
Unless otherwise agreed in writing:
All fees shall be paid in advance or per invoicing terms;
Taxes, duties, and statutory charges shall be borne by the client;
Delayed payments beyond the stipulated period shall attract penal interest at 18% per annum, compounded monthly, without prejudice to ED’s right to terminate services or pursue legal recovery.
5. Service Delivery
ED does not engage in the sale of physical goods. All services shall be rendered digitally or in person and deemed delivered upon submission or access being granted, as per mutually agreed formats.
6. Refund and Cancellation
Refer to ED’s Refund & Cancellation Policy, which forms an integral part of these Terms.
7. Limitation of Liability
To the fullest extent permissible under applicable law, ED shall not be liable for any indirect, incidental, punitive, special, or consequential damages, or for loss of profit, revenue, or data arising out of or in connection with your use of or inability to use our services, even if advised of the possibility of such damages.
8. Termination
ED reserves the right, without notice or liability, to suspend or terminate your access to services for breach of these Terms, unlawful activity, or at its sole discretion, where continued engagement is commercially untenable.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, and all disputes arising from or relating hereto shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, to the exclusion of all other jurisdictions.
